ReplySharp: Terms of Service (business customers)
Last updated: 20 October 2026
These terms are for business customers only, not consumers. Prices are set in your Proposal.
1. Who we are and what these terms cover
1.1 "We", "ReplySharp": Nikolaos Sotiriou, a sole trader trading as ReplySharp, Leagrou 8, 11631 Athens, Greece, hello@replysharp.com. Our VAT number is given in the Proposal and on every invoice. 1.2 "You": the business named in the Proposal. You confirm that you're acting for business purposes and aren't a consumer. 1.3 The contract consists of: (a) the signed or accepted Proposal & Onboarding Agreement ("Proposal"), (b) the Data Processing Agreement ("DPA"), and (c) these Terms. If they conflict, the DPA prevails on data protection, then the Proposal, then these Terms. 1.4 Acceptance by signature, or by an email from an authorised person saying "I accept", is binding.
2. The Services
2.1 We provide the plan you chose (Lead Rescue, Speed-to-Lead or Front Desk Autopilot), as described in the Proposal: intake of enquiries from the channels you connect, research and qualification against your rules, AI-assisted drafting of replies and follow-ups, an approval workflow, sending through the agreed channel, outcome logging and reports. 2.2 Out of scope unless agreed in writing: live call answering; quoting or pricing outside ranges you approve; technical, safety, legal or financial advice; ad management; replies about ongoing jobs; marketing campaigns. 2.3 Dependencies. Instant acknowledgements and missed-call text-back require a sending channel (your mailbox, or an SMS number set up with your written OK). Calendar slots, self-booking and CRM sync depend on your systems. We'll confirm at kickoff what's available for you. Third-party costs are passed through at cost, only with your written OK. 2.4 We provide the Services with reasonable skill and care. We don't guarantee uninterrupted service; email, SMS, portals and AI providers can fail or delay messages.
3. Your responsibilities
3.1 Provide accurate information (services, prices, areas, availability, rules), keep lead forwarding on, answer approval requests within the agreed time, and name a backup approver. 3.2 Content and sending. You approve templates, the wording rules and any auto-send rules. Messages you approve, or that are sent under rules you approved, are sent in your name and are your communications. You're responsible for their content, the prices and promises in them, and the work you do. Safety-related enquiries (e.g. gas smell, CO alarm, electrical danger) are always passed to you and never answered automatically, beyond safety lines you've approved. 3.3 Lawful contact. You're the controller of enquiry data. You're responsible for your privacy notice (including mention of service providers and AI), and for having consent or a valid soft opt-in before any marketing to past leads or customers (UK PECR reg. 22(3); Ireland S.I. 336/2011 reg. 13(11), sale within 12 months; Greece Law 3471/2006 art. 11). 3.4 Trade compliance. You remain responsible for your own regulatory duties (e.g. Gas Safe/RGII, NICEIC/RECI, property redress schemes, client money protection, the Equality Act 2010, the Renters' Rights Act 2025). Qualification rules mustn't discriminate unlawfully (e.g. against applicants with children or receiving benefits). 3.5 Don't ask us to send spam, misleading content, or messages to people who haven't contacted you, and don't use the Services unlawfully.
4. Fees, VAT and payment
4.1 Fees, the setup fee, included leads and extra-lead charges are as stated in the Proposal (in the currency stated there). Monthly fees are billed in advance; the setup fee is due on signing. 4.2 VAT: fees exclude VAT. UK business clients: outside the scope of Greek VAT; you account for any UK VAT under the reverse charge if you're VAT-registered. EU business clients: reverse charge (Art. 196 Directive 2006/112/EC); you must give us a valid VAT number. Greek clients: Greek VAT at the applicable rate. Invoices are issued electronically and reported to AADE myDATA. 4.3 Payment within 7 days of the invoice date by bank transfer; bank charges are paid by the sender. 4.4 Late payment: we may charge statutory interest and compensation (UK: Late Payment of Commercial Debts (Interest) Act 1998; EU: Directive 2011/7/EU as implemented, Greece: Law 4152/2013), and may suspend the Services after 14 days' written notice of an overdue invoice. 4.5 We may change prices for future periods with 30 days' written notice. You may cancel before the change takes effect.
5. Guarantee and service credits
5.1 60-Day Booked-Appointments Guarantee. If, in the first 60 days after go-live, we don't help you book at least the number of extra appointments stated for your plan (Lead Rescue 3 / Speed-to-Lead 5 / Front Desk Autopilot 8), counting only appointments booked after our reply or follow-up for leads that arrived out of hours, were missed or unanswered, or got their first reply from us (as recorded in the shared lead log), we refund the setup fee in full within 14 days of the 60-day review, and then provide the Services at no monthly charge until the target is reached, or you may terminate with no further charge. 5.2 Conditions: lead sources connected as agreed; approval requests answered within 2 business hours; availability kept up to date; at least 15 genuine leads in the period; invoices paid on time. 5.3 Speed promise: if, for reasons within our control, we miss the plan's response target on more than 5% of leads in a calendar month, you get a credit of 25% of that month's fee on your next invoice. Not within our control: outages of third-party services, leads outside the plan's coverage hours, late or missing approvals, forwarding switched off, incorrect information from you. 5.4 The refund, free-service period and credits in this clause are your only remedies for missing those targets. 5.5 No guarantee of results. Apart from clause 5, we don't promise any number of bookings, jobs won, revenue or profit. Estimates in proposals are illustrations based on your figures.
6. Term, cancellation and suspension
6.1 The contract runs month to month from go-live. Either party may cancel with 30 days' written notice (email is fine). Fees for the notice period remain payable. 6.2 Either party may terminate immediately by written notice if the other commits a material breach that isn't remedied within 14 days of notice, or becomes insolvent or stops trading. 6.3 We may suspend the Services, with notice where practicable, for non-payment (clause 4.4), if continuing would break the law or a provider's terms, or to deal with a security incident. 6.4 The setup fee is non-refundable except under clause 5.1. 6.5 On termination we hand over your lead log (CSV) and templates and delete or return data as set out in the DPA. Clauses 4, 5.4–5.5, 7, 8, 9, 10 and 12 survive.
7. Data protection and AI
7.1 We process enquiry data as your processor under the DPA, using the sub-processors listed at replysharp.com/subprocessors (30 days' notice of changes, with a right to object). 7.2 We use AI tools to draft and score. We don't use your data to train AI models. You acknowledge that replies and follow-ups are drafted with AI tools under your rules, and that auto-send only applies after your written sign-off. As controller and sender of those messages, you are responsible for any transparency notices to your own customers. 7.3 For our own contacts with you (account, billing, marketing) we're the controller: see our privacy notice at replysharp.com/privacy.
8. Confidentiality
Each party keeps the other's non-public business information confidential, uses it only for the contract, and returns or destroys it on request, except where the law requires otherwise or the information becomes public through no fault of the recipient. This lasts for 3 years after the contract ends (indefinitely for personal data).
9. Intellectual property
9.1 You own your data, branding, content you supply, and the replies sent in your name. 9.2 We own our system, software, scoring rubric, generic templates and know-how. We grant you a licence to use the materials we create for you, during and after the contract, for your own business. 9.3 We may use your name, logo, testimonial or results publicly only with your prior written consent. Testimonials must be genuine.
10. Liability
10.1 Nothing limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or anything else that can't be limited by law. 10.2 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, jobs, business, goodwill or anticipated savings. 10.3 We're not liable for: content, prices, promises or advice you approved or that were sent under rules you approved; your work or services; failures of third-party services outside our reasonable control; or losses caused by inaccurate information from you. 10.4 Each party's total liability in each contract year is limited to the fees paid or payable in the 3 months before the event giving rise to the claim. For claims under the DPA or data-protection law, the cap is the greater of €5,000 and 12 months' fees. 10.5 You'll cover our reasonable losses and costs arising from third-party claims caused by content you supplied or approved, or by your not having a lawful basis to contact a person.
11. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control (e.g. provider outages, network failures, natural events, illness of the sole operator for a short period). The affected party will notify the other promptly. If the event lasts more than 30 days, either party may terminate.
12. General
12.1 Sub-contracting: we may use sub-contractors and sub-processors and remain responsible for them. 12.2 Assignment: neither party may assign without consent, except that we may transfer the contract to a company we set up to run ReplySharp, with notice. 12.3 Notices: by email to the addresses in the Proposal. 12.4 Entire agreement: the contract documents in clause 1.3 are the whole agreement; neither party relies on statements not set out in them (this doesn't exclude liability for fraud). 12.5 Changes: only in writing (email is fine) agreed by both. We may update these Terms for new contracts and will give 30 days' notice of changes affecting existing ones. 12.6 Severability and waiver: standard. 12.7 Third parties: no third-party rights (UK: Contracts (Rights of Third Parties) Act 1999 excluded). 12.8 Governing law and courts: the law and courts stated in the Proposal (default: England and Wales for UK clients, Ireland for Irish clients, Greece (courts of Athens) for Greek clients). (Solicitor to confirm the default choices and enforcement against a Greek sole trader; the UK and EU are parties to the Hague 2019 Judgments Convention.)
